• Ensure that all materials provided (such as images, text, logos) are owned by you or that you have the appropriate rights and licenses to use them.
• Ensure that the website does not infringe on any intellectual property rights or violate any laws, including but not limited to copyright laws, trademarks, and privacy laws.
• Cooperate with us in a timely manner to facilitate the completion of the project as outlined in the project timeline.

3. Project Deliverables and Timeline

• Scope of Work: The scope of work will be outlined in the contract or proposal between CodeWavez and the client. Any changes to the scope of work must be agreed upon in writing.
• Project Timeline: We will provide an estimated timeline for the completion of the project. Delays caused by the client’s failure to provide necessary materials or feedback may result in an extended timeline.
• Acceptance: Upon completion, the client will have a set period to review and approve the project. If no issues are raised within this period, the project will be deemed accepted.

4. Payment Terms

• Fees: The fees for services provided will be outlined in the contract or proposal. All fees must be paid as per the agreed schedule.
• Payment Schedule: Typically, a deposit is required before work begins, with the balance due upon completion of the project. Specific payment terms will be agreed upon in the contract.
• Late Payments: Late payments may be subject to additional charges, and CodeWavez reserves the right to suspend work on the project until payment is made.

5. Confidentiality

We respect your privacy and the confidentiality of any proprietary information shared with us. Both parties agree not to disclose any confidential information to third parties without prior written consent, except as required by law.

6. Intellectual Property

• Ownership: Upon full payment, the client will own the rights to the website and its content, excluding third-party materials (e.g., stock images, plugins, software) that may be used on the site.
• Licensing: If third-party software, themes, or plugins are used, the client will be provided with a license to use these products, subject to the terms of the third-party license agreements.
• Our Portfolio: We reserve the right to display the completed project on our website and marketing materials as part of our portfolio unless otherwise agreed in writing.

7. Limitation of Liability

CodeWavez will not be liable for any indirect, incidental, or consequential damages arising out of the use of our services or the inability to use the website. This includes, but is not limited to, loss of profits, data, or business opportunities.

8. Website Maintenance and Support

After project completion, ongoing maintenance and support may be offered under a separate agreement. Any post-launch updates or changes outside the original scope of work may be subject to additional charges.

9. Termination of Services

Either party may terminate the agreement by providing written notice if the other party breaches any of these terms. Upon termination, the client agrees to pay for any work completed up until the termination date.

10. Third-Party Links

Our website may contain links to third-party websites. We are not responsible for the content, accuracy, or privacy practices of those websites. Accessing third-party websites is at your own risk.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.
